1. About Koala
Koala is a performance-based creator marketplace that connects businesses (“Brands”) with content creators (“Creators”) to run influencer marketing campaigns where compensation is based on content performance.
Koala is not an advertising agency and does not guarantee campaign results.
2. Eligibility
You must be at least 16 years old to use Koala.
By using Koala, you confirm that you have the legal capacity to enter into these Terms.
Koala is currently available only to users located in the United States.
3. Account Registration
You agree to:
Provide accurate and complete information
Keep your login credentials secure
Be responsible for all activity under your account
Koala may suspend or terminate accounts that violate these Terms or misuse the Platform.
4. Roles on the Platform
A. Creators
Creators may:
Apply to campaigns
Post content in accordance with campaign requirements
Earn compensation based on performance metrics
B. Brands
Brands may:
Create campaigns
Set budgets and guidelines
Fund campaigns through Koala
5. Campaign Participation
Campaigns are only visible to logged-in users.
Joining a campaign constitutes agreement to its requirements.
Creators are responsible for ensuring content complies with campaign guidelines and applicable laws.
Brands are responsible for clearly defining expectations.
Koala does not guarantee campaign acceptance, creator selection, or results.
6. Performance-Based Compensation
Compensation is based on performance metrics such as views, engagement, or other campaign-defined criteria.
Koala determines payout calculations using the campaign’s stated formula.
Performance verification may include manual or automated review.
Koala does not guarantee minimum earnings or payouts.
7. Payments
All payments are processed through Stripe.
Koala does not store raw payment information.
Brands fund campaigns upfront.
Creators receive payouts only after performance verification.
Koala is not responsible for payment delays caused by third-party payment providers.
8. Content Ownership & License
Creators retain ownership of their content.
By participating in a campaign, Creators grant Koala a non-exclusive, royalty-free license to:
Display content on the Platform
Use content for internal review, compliance, and promotional purposes related to Koala
Brands may receive usage rights as specified in individual campaign terms.
9. Content Review & Compliance
Koala reserves the right to:
Review campaign content
Flag content internally
Withhold payouts for content that violates campaign rules, platform policies, or applicable laws
Koala’s review decisions are final.
10. Prohibited Conduct
You may not:
Post misleading, fraudulent, or deceptive content
Manipulate engagement metrics
Impersonate others
Violate intellectual property rights
Use Koala for unlawful purposes
Attempt to bypass payments or platform safeguards
Violations may result in suspension, termination, or forfeiture of payouts.
11. No Guarantees
Koala provides the Platform “as is” and “as available.”
We make no guarantees regarding:
Campaign success
Earnings
Audience growth
Engagement levels
Brand outcomes
Use of the Platform is at your own risk.
12. Limitation of Liability
To the maximum extent permitted by law, Koala Labs LLC shall not be liable for:
Lost profits or revenue
Indirect or consequential damages
Disputes between Brands and Creators
Content performance or audience reactions
Koala’s total liability shall not exceed the amount paid to Koala by the user in the preceding 12 months.
13. Indemnification
You agree to indemnify and hold harmless Koala Labs LLC from any claims, damages, or expenses arising from:
Your content
Your campaign participation
Your violation of these Terms
Your violation of applicable laws
14. Termination
Koala may suspend or terminate your account at any time for:
Violations of these Terms
Misuse of the Platform
Legal or compliance concerns
You may stop using Koala at any time.
15. Changes to These Terms
We may update these Terms as the Platform evolves.
Continued use of Koala after changes means you accept the updated Terms.
16. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.
